¶ Members of Congregation are reminded that written notice of any intention to vote against, or any proposed amendment to, the legislative proposal below, signed by at least two members of Congregation, must be given to the Registrar by noon on Monday, 22 June (see the note on the conduct of business in Congregation at the end of 'University Agenda').

Voting on Legislative Proposal: Statute I: definition of 'external member' and 'external person'

Explanatory Note

The following Legislative Proposal submitted by Council under Part 2 of Congregation Regulations 2 of 2002 (Supplement (1) to Gazette No. 4633, 9 October 2002, Vol. 133, p. 161, as amended on 12 October 2004, 7 March 2006 and 14 October 2008 (Gazette, Vol. 135, p. 214; Vol. 137, p. 669; Vol. 139, pp. 4–8) adds an explanation of the phrases 'external member' and 'external person' to the list of definitions in Statute I. It also makes a change to Statute VI, removing wording that applies the definition of an external member only when a person is nominated. The amended version makes clear that a person appointed as an external member of Council will cease to be a member of Council if he or she becomes a resident holder of a teaching, research or administrative post in the collegiate University.

WHEREAS it is expedient to add a definition of the phrases 'external member' and 'external person' to Statute I and a consequential change to Statute VI, NOW THE UNIVERSITY OF OXFORD, in exercise of the powers in that behalf conferred upon it by the Universities of Oxford and Cambridge Act, 1923, and of all other powers enabling it, ENACTS, subject to the approval of Her Majesty in Council, AS FOLLOWS.

1 In section 6 of Statute I (Supplement (1) to Gazette No. 4633, 9 October 2002) after paragraph (10) insert:

'(11) 'external member' or 'external person' means a person who is not the resident holder of a teaching, research, or administrative post in the University or in any college, society, or Permanent Private Hall.'

2 In Statute VI, concerning the membership of Council (Supplement (1) to the Gazette No. 4633, 9 October 2002, amended with effect from 8 May 2003 and 7 February 2007, Gazette, Vol. 133, p. 1335, 29 May 2003; Vol. 137, p. 788, 22 February 2007), delete existing section 4 (7)–(10) and substitute:

'(7)–(10) four external persons nominated by Council and approved by Congregation;'.

3 These statutes shall be effective from the date on which they are approved by Her Majesty in Council.


Regulations to be made by Council if the Legislative Proposal is approved

1 In Council Regulations 15 of 2002, concerning committees reporting directly to Council (Supplement (2) to Gazette No. 4628, 26 June 2002), delete existing regulation 3.9 (1)–(5), concerning the Audit and Scrutiny Committee, and substitute:

'(1) an external member of Council appointed by Council who shall not be a member of any other body or hold any position, which in the view of Council involves executive authority within the University, who shall chair the committee;

(2)–(5) four external persons appointed by Council, at least two of whom shall have experience at a senior level in the non-public sector and all of whom shall bring relevant expertise to the working of the committee;'.

2 Ibid., delete existing regulation 3.18 (6),(7), concerning the Central University Research Ethics Committee, and substitute:

'(6), (7) two external persons appointed by Council;'.

3 Ibid., delete existing regulation 3.25 (4) and substitute:

'(4) One external person appointed by the Central University Research Ethics Committee on the recommendation of the chair of the relevant subcommittee whose primary personal or professional interest is not in any particular research area;'.

'(a) external members; or'.

5 Ibid., delete existing regulation 3.47 (2)–(4), concerning the Finance Committee, and substitute:

'(2)–(4) Three external members of Council appointed by Council who are not members of Congregation;'.

6 Ibid., delete existing regulation 3.68 (2), concerning the Investment Committee, and substitute:

'(2) at least five external persons appointed by Council, all of whom shall bring recent and relevant expertise of investment management to the working of the committee, and one of whom shall be appointed by Council to serve as chairman of the committee;'.

7 Ibid., delete existing regulation 3.71 (3)–(6), concerning the Curators of the University Libraries, and substitute:

'(3)–(6) four persons appointed by Council, of whom one shall be a member both of Council and of its Planning and Resource Allocation Committee, and of whom two shall be external persons;'.

8 Ibid., delete existing regulation 3.80 (14), concerning the Committee for the Museums and Scientific Collections, and substitute:

'(14) an external person appointed by Council;'.

9 Ibid., delete existing regulation 3.83 (1)-(2), concerning the Nominations Committee, and substitute:

'(1) a person appointed by Council from among current or former external members of Council;

(2) a person appointed by Council from among current external members of Council;'.

10 Ibid., delete existing regulation 3.94 (4) concerning the Socially Responsible Investment Review Committee, and substitute:

'(4) an external person appointed by Council who shall bring recent and relevant expertise of investment management to the working of the committee;'.

11 Ibid., delete existing regulation 3.130 (10) concerning the Committee on Value for Money, and substitute:

'(10) one external person appointed by Council who shall have relevant experience at a senior level in the non- public sector.'

12 In Council Regulations 45 of 2002 concerning the Ashmolean Museum of Art and Archaeology (Gazette, Vol. 133, p. 512, as amended on 22 January 2004, 17 November 2005, 4 May 2006, 22 March 2007 and 15 January 2009, Gazette Vol. 134, p. 520; Vol. 136, p. 990; Vol. 137, p. 926; Vol. 139, p. 507), delete regulation 2 (1) (j)–(p) and substitute:

'(j)–(p) seven external persons appointed by Council, after consultation with the chairman and vice-chairman of the Visitors.'

13 In Council Regulations 48 of 2002 concerning the Oxford University Museum of Natural History (Gazette, Vol. 133, p. 513, as amended on 13 October 2005, 17 November 2005, 4 May 2006, 22 March 2007 and 15 January 2009, Gazette Vol. 136, pp. 184, 342, 990; Vol. 137, p. 926; Vol. 139. p. 507), delete regulation 2 (5)–(8) and substitute:

'(5)–(8) four persons appointed by Council, of whom two shall be external persons;'.

14 In Council Regulations 3 of 2004 concerning the employment of University staff (Supplement (1) to Gazette No. 4703, 14 July 2004, as amended on 14 July 2005, 12 January 2006, 27 July 2006, 22 February 2007, 12 July 2007, 11 October 2007, 6 March 2008, 19 March 2008, 1 May 2008, 22 May 2008, 12 June 2008, 25 September 2008 and 5 February 2009), delete existing regulation 20 (2) and substitute:

'(2) shall contain not fewer than two electors, at least one of whom must be nominated by the relevant faculty board or divisional board, who at the time the board meets are external persons, and who are not normally both from the same institution;'.

[Following the addition of a definition of 'external member' or 'external person' to Statute I, for use throughout the University's legislation, these amendments make consequential changes to the regulations.]
